Integral Business Counsel represents individual, venture capital and private equity investors in all types of investments including convertible notes, subordinated loan facilities, early-to-mid stage equity investments and secondary sales/purchases. We assist our investor clients in every aspect of their investment including choosing the appropriate investment structure, negotiating term sheets, performing due diligence, drafting documentation and closing the transaction. Throughout the process, we diplomatically advocate the investor’s position to maximize their interest – while not unnecessarily jeopardizing the transaction or the business relationship that it may create. We maintain a relationship with the investor and their portfolio companies throughout the life of each investment and often represent the investor in liquidating their investment either through a secondary sale or the sale of the portfolio company.

Our entrepreneurial experience and representation of small to mid-size companies allows us to provide a unique perspective to our investor clients. We understand the pain points that founders and early stage investors feel when new investors join the business and are particularly adept at assisting our investor clients in negotiating those issues.
